The companies will begin integrating extraction and distillation processes, as well as the finished dose manufacturing of CBD (cannabidiol) products for the European market.

"The integration of extraction and distillation processes is one of the many synergies we will see with Wayland's involvement in International Cannabis," said Eugene Beukman, CEO of ICC.

"Wayland has cultivated a highly experienced European operations team, which boasts upstream, downstream, logistics, construction and distribution capabilities," he added.

"This initial operational integration will signal to the marketplace that International Cannabis is positioned to operate world-class cannabis production facilities and distribution networks."

Last week, the company said that it would complete a purchase agreement on or before March 1, 2019, to acquire 49.9% of Wayland Group Corp's international assets and licence portfolio.

It adds cannabis operations in a variety of high-profile jurisdictions while increasing exposure to high-growth marketplaces including Germany and the Asia Pacific theatre, ICC had said.

Wayland's 125,000kg supply of CBD flowers for extraction will be processed in International Cannabis's Polannabis operations and finished into the distillate.

Finished dose products 

Using Wayland's patented Vesisorb formulations, ICC's European distribution partner said Cosmos Holdings will then manufacture finished dose CBD products, including oral tablets in its EU-GMP-certified (European Union good manufacturing practices) facilities in Greece.

Wayland's patented Vesisorb formulations have been demonstrated to increase absorption of fat-soluble drugs by up to seven times, compared with those without.

ICC International Cannabis also revealed in Monday's press release that Wayland had completed site visits for its Greece and Colombia assets, with operations exceeding expectations.

Additional site visits to all other operations will be completed within the next two weeks.

ICC has formally begun the executive recruitment process for a seasoned capital markets chairman and CEO and expects to begin initial discussions with qualified candidates in the coming weeks.

When the purchase is complete, Wayland's international assets and licences will be held in a subsidiary which will be owned by Wayland and International Cannabis.

Shares in Toronto added 1.25% to $0.405.

The stock slipped C$0.03 to C$0.40 in Thursday’s Canadian trading. They were down US$0.02 to US$0.40 on the OTC Markets.

The cannabis company also said Thursday that it’s set to launch a European-wide medical cannabis insurance plan. Earlier this week, it said it will complete a purchase agreement on or before March 1 to acquire 49.9% of Wayland Group Corp's international assets and license portfolio.

The Vancouver-based cannabis-focused company has entered into a letter of intent with a consortium of Evergreen Pacific Insurance Corp and Cannops Consulting to form a joint venture to launch the former's revolutionary BuyWell Ecosystem.

BuyWell.com provides access to over 10,000 quality health and wellness products and affordable healthcare coverage options via its BuyWell Care program -- Canada's first guaranteed healthcare coverage for medical cannabis prescriptions launched in 2018.

The roll-out in Europe will include the "first of its kind" coverage for cannabinoid therapeutic treatment using a proprietary pricing methodology.

It will also offer streamlined access to top-tier alternative healthcare services.

"International Cannabis controls medical cannabis and CBD production licenses in 12 European counties and is now poised to offer comprehensive alternative insurance coverages and healthcare solutions in its respective jurisdictions," said Eugene Beukman, the CEO and director at ICC.

Wayland's international assets and licences will be held in a subsidiary which will be owned by Wayland and International Cannabis.

"This is a watershed acquisition for International Cannabis; adding cannabis operations in a variety of high-profile jurisdictions, all while increasing exposure to high-growth marketplaces including Germany and the Asia Pacific theatre,” said International Cannabis CEO Eugene Beukman.

“This acquisition will solidify ICC as a global Cannabis leader, with exposure to a broader range of countries than any competitor to date,” added Beukman.  

The CEO said the deal would help the company build a “robust portfolio of international cannabis assets” and accomplish its mandate to be one of the largest vertically integrated cannabis companies in the world.

After completing the transaction, International Cannabis will acquire a 49.9% interest in several new operations, partnerships, assets and licences in Germany, Switzerland, United Kingdom, Italy, Malta, Colombia, Argentina, and Australia.

Exposure to sevreral foreign markets

After the deal, the company will have an interest in a German cannabis import license, an indoor medical cannabis cultivation license application, and an 820,000 square feet facility with a 50,000 square feet certified packaging and distribution center. Annual production is estimated to hover around 2,400 kilograms of CBD isolate, 165 hectares of CBD cultivation operations, as well as a three-year agreement to supply medical cannabis to 2,200 pharmacies.

Similarly, a Swiss cannabis cultivation operation which includes a 60,000 square foot cultivation facility, a proprietary genetics portfolio available for export, a THC distillate import capabilities and material revenues from Haxxon AG operations.

It will also become a frontrunner for one of seven medical cannabis licences to be issued by the Italian government. It will also gain a Maltese license to manufacture finished-dose medical cannabis and be a leading candidate for a UK-based medical cannabis import license and an Australia late-stage medical Cannabis licence application. Hopes are also centered on scoring the first Argentinian Federal Medical Cannabis licence with approval expected in early 2019, and existing supply agreements for CBD products.

The company said that after the deal, International Cannabis and Wayland will jointly hold distribution and supply agreements with over 39,000 corporate and independent pharmacies and have at least 16 licences, spanning 12 countries and four continents.

An executive order that went into effect January 1 builds on preliminary Danish export regulations adopted in 2018, which allowed for single-dosage medical cannabis exports, ICC said in a press release.

Shares of ICC climbed US$0.07, or 18%, to US$0.40 in Thursday's Canadian trading. Last month, the company’s common shares on the Canadian Securities Exchange began trading in the US currency.

ICC said the revised export regulations enhance the value of its Danish medical license.

“Denmark is emerging as the preeminent European jurisdiction for medical cannabis cultivation,” CEO Eugene Beukman said in a statement. “International Cannabis applauds Denmark’s recent executive order.”

The company's partner Auxly Cannabis Group Inc (CVE:XLY) (OTCMKTS:CBWTF) said earlier this week that it had completed its US$15 million acquisition of an 80% stake in Uruguay-based Inverell SA.

“International Cannabis applauds the acquisition of Cosmofarm, which further augments the company’s robust European distribution capabilities," Beukman said in a statement.

Cosmofarm is equipped with an extensive supplier network of 250 pharmaceutical manufacturers and had sales of nearly US$14 million for fiscal year 2017. It provides products to more than 1,300 pharmacies.

Cosmofarm is in the process of relocating its operations to a new 32,000-square-foot facility, greatly increasing its manufacturing capacities, according to ICC. The facility’s manufacturing operations include a robotic fulfillment center and will significantly improve Cosmofarm’s scaling and distribution capabilities.

"Cosmofarm is a rapidly growing wholesaler with embedded shared-values of innovation and high-quality distribution," said Beukman. "The company will leverage Cosmofarm’s distribution channels and robotic fulfillment center to facilitate its growing pipeline of purchase orders in 2019."

Vancouver-based ICC will market and sell its cannabis and cannabidiol products throughout the 28 member states of the EU. 

Licenses permit the company to cultivate, manufacture, distribute and export industrial hemp and its many CBD-derived extracts. Greece boasts more than 300 days of sunshine per year, providing an attractive climate for outdoor industrial hemp cultivation, according to ICC.

Cosmos has a trans-European network of more than 160 clients and vendors.

ICC, through its subsidiaries, has agreements in place for European-based pharmaceutical distribution, wholesale importation, and research and development.

The company has licenses to cultivate, produce, distribute, store and export cannabis, cannabis derivatives and industrial hemp in Colombia, Denmark, Poland, Greece, Portugal, Poland, Macedonia, Bulgaria, South Africa and Lesotho.

Vancouver-based ICC said in a press release that it’s buying a company that controls Macedonian medical cannabis cultivation and extraction licenses as well as Bulgarian medical cannabis and hemp cultivation licenses.

Through a Macedonia subsidiary, Balkan Cannabis has been granted an exclusive agreement with a licensed facility permitting the cultivation, manufacturing and export of medical cannabis, according to ICC. The facility is located on 30 hectares (75 acres) in Valandovo, Macedonia.

The Balkan Cannabis subsidiary holds the only Macedonia extraction license to date and is building the country’s first dedicated industrial extraction facility, ICC said.

Balkan Cannabis owns 67% of the Macedonia subsidiary, with the rest controlled by a regional partner.

ICC added that Balkan Cannabis holds a 50% interest in a Bulgarian subsidiary that holds licenses for the production, manufacturing and export of hemp and medical Cannabis. Through the subsidiary, Balkan Cannabis controls 15,000 hectares (37,000 acres) with a two-year option to buy an additional 15,000 hectares.

Medical cannabis growth

In 2017, the global medical cannabis industry was valued at US$15.6 billion and is expected to expand at a compound annual growth rate of 17.7%, according to ICC, citing data from San Francisco-based Grand View Research

ICC advanced its global aspirations Thursday when it announced that it had entered a joint venture with Colombia-based Estrella Verde SAS, giving it access to more than 300 genetic cannabis strains.

Vancouver-based ICC said in a press release that the strains have been registered with the International Cannabis Association.

ICC will use the strains to cultivate mother plants, generate clones and build out its nursery. The company now has access to more than 430 laboratory-tested cannabis strains.

Last month, ICC agreed to buy Green Gene Research Inc, a company with more than 120 lab-tested cannabis strains.

Separately, ICC said Thursday that it passed characterization protocols for its first 10 cannabis strains and plans to present results to the International Cannabis Association in 2019. ICC expects to receive its final production quotas from the association in the first half of the new year. ICC has begun working toward planting its inaugural test crop.

In addition, ICC has completed its rebranding related to its Portuguese hemp and cannabidiol operations. Enigma Unipessoal Lda, a wholly owned subsidiary, holds a Portuguese hemp cultivation and processing license that allows imports and exports of hemp-derived products.

This license authorizes ICC to cultivate hemp on 400 acres in Portugal’s Castelo Branco region. ICC’s Portuguese hemp operations are estimated to yield 45,000 kilograms of finished, extracted, pure cannabidiol isolate product each year.

Enigma harvested and extracted its first hemp crop in 2015.

Shares of ICC slipped C$0.01 to C$0.42 in Wednesday’s Canadian trading. They were down US$0.01 to US$0.31 on the OTC Markets.

International Cannabis’ Danish operations are strategically located along a national highway in western Denmark, permitting direct access to the capital of Copenhagen.

The land parcel has favorable lease terms and is equipped with the requisite utilities, including water, gas, telecommunications and electricity.

Stage A of the company’s Danish medical cannabis facility will include a 49,600 square foot cultivation unit, an administrative area as well as a production and processing structure.

Israeli cannabis cultivation company hired

International Cannabis has hired an Israeli cannabis organic cultivation and management company Sababa Sciences to help with the build-out of its Danish medical cannabis cultivation facility.

On top of this move, the company has also engaged the leading greenhouse engineering and manufacturing firm Azrom to assist with facility engineering planning.  Under Sababa’s guidance, Azrom will provide end-to-end planning and consulting services throughout the build out of the Danish medical cannabis cultivation facility.

“International Cannabis continues to make material progress towards a world-class cultivation facility in Denmark,” said Eugene Beukman, CEO of International Cannabis in a statement. “Through its partnerships with Sababa and Azrom, the Company is working with world-renowned experts in greenhouse engineering, manufacturing and construction.”

International Cannabis expects its greenhouse engineering planning work will be completed by December 31. Once finalized, delivery of the greenhouse structure and the required growing systems is set to take place by the end of the first quarter of 2019.

The company is also in the process of applying for building permits and its architects and engineers are now finalizing the project plan for the cultivation facilities.

International Cannabis’s land development campaign for its Danish project include the completion of a mandatory museum/archaeological survey, removal of trees, shrubs and bushes and installation of temporary housing to serve as a command and control center for construction and engineering staff.

The company has also finalized the design of its European GMP compliant manufacturing facility. Construction of the facility will kick off during the second quarter of 2019 and it is expected that it will see GMP validation before the end of next year.

At the same time as its construction and manufacturing efforts are advancing, International Cannabis is still bolstering its genetic and strain catalogue of cannabis via the purchase of 10 varieties of seeds from several different suppliers. The company has established a genetics room that will be monitored by Sababa’s agronomy team.

The company now has access to 130 laboratory-tested craft cannabis strains. The finished cannabis and cannabis derivatives it produces will eventually be sold through Denmark’s retail pharmacy network.

Denmark has developed a program for reimbursement for cannabis therapeutics through its national health care program. Patients can be reimbursed for their cannabis medicine in the same manner as all other prescriptions.

ICC International Cannabis has licences to cultivate, produce and export cannabis, cannabis derivatives and industrial hemp in Colombia, Denmark, Poland, Greece, Portugal, South Africa and the Kingdom of Lesotho.

ICC International Cannabis shares nudged up 11.7% to hit C$0.43 on Tuesday.

On top of this, Christopherson is co-founder of Lift & Co, the Canadian cannabis education and tech platform.

“I am very much excited to join International Cannabis’ advisory board,” said Christopherson. “The company has assembled a dynamic international portfolio of cannabis assets, which we intend to move towards production in 2019.”

Eugene Beukman, CEO of International Cannabis, noted that Christopherson’s experience will be “instrumental” in developing and operating the company’s cultivation licenses in Denmark, Colombia, Lesotho, Poland, Greece and Portugal.

“Mr Christopherson is equipped with a tremendous amount of cannabis cultivation experience, specializing in harvest processing,” Beukman said in a statement.

International Cannabis set up its advisory board in November in a bid to recruit top-tier talent in the cannabis sector to help the company as required. The board will be made up of independent cannabis experts, industry consultants and international financiers.

New advisory board members are expected in the coming months.

Via its subsidiaries, ICC International Cannabis has agreements for European-based pharmaceutical distribution and the wholesale importation of cannabis. It also has licenses to cultivate, produce, store and export cannabis and hemp in Colombia, Denmark, Poland, Greece, Portugal, South Africa and the Kingdom of Lesotho.

ICC International Cannabis Corp.shraes slipped 2.13% to finish at C$0.46 on Tuesday.

Under the agreement, Vancouver-based ICC said it will issue 10 million common shares, with a finder’s fee payable. Green Gene will transfer ownership of its proprietary strain portfolio, seed inventory and clone catalog to ICC.

ICC plans to deploy Green Gene’s genetic strains at its operations in Colombia, Denmark, Poland, Greece, Portugal, South Africa and Lesotho. In addition, the company has a distribution network of 35,000 pharmacies in 16 countries.

The buyer said it expects the deal to help it draw revenue from licensing of premium genetic strains, wholesale seed sales, clone fulfillment services, custom breeding, tissue culture and strain patenting services.

“The acquisition of Green Gene broadens the product offering that ICC can provide to its clients and to its distribution network,” ICC CEO Eugene Beukman said in a press release statement.

Shares of ICC slipped 4.08$ to C$0.47 in Canada on Monday.

Last week, the company said it cleared an inspection of its products by Colombian agricultural authorities.

Enigma will issue 18 million common shares priced at $0.66 each, taking the deal value to around $11.88 million.

The acquired company has a hemp license that allows for the cultivation, processing and import and export of hemp-derived products.

Enigma cultivates hemp on 400 acres of land in the Castelo Branco region of Portugal, harvesting its first crop back in 2015.

“The Company is confident that this acquisition lays an excellent foundation for the comprehensive build out of a vertically integrated Portuguese operation. ICC’s expansive distribution network will allow for continued penetration of the European Union's burgeoning CBD markets and appetite for natural health products,” said ICC CEO Eugene Beukman in the company’s press release.

Enigma plans to offer branded and white-labeled CBD products in the first quarter of 2019. The products include CBD-infused chocolate, CBD oils, and CBD-based topical creams.

The hemp operations are expected to produce 45,000 kg of pure CBD per year once a full operating team and complete infrastructure are in place.

ICC, through its subsidiaries, has various operations in Colombia, Denmark, Poland, Greece, Portugal, South Africa and the Kingdom of Lesotho.

"Successful completion of the ICA's cannabis inspection is a significant achievement for International Cannabis and further emphasizes the company's mandate to become a global cannabis producer of recognized quality standards," CEO Eugene Beukman said in a statement.

Vancouver-based ICC recently acquired 13 hectares (32 acres) of agricultural land in Funza, about 20 kilometers by car from El Dorado International Bogota Airport.

Colombia has become a desirable place for cannabis cultivation, according to ICC, citing the country’s growing conditions.

Shares of ICC climbed C$0.01, or 2.1%, to C$0.48 on the Canadian Securities Exchange.

ICC plans to fill the order during the first quarter of 2019 and expects other orders throughout the year. The company plans to market and sell its products in the 28 countries of the European Union, which has a total population of 500 million.

This year, International Cannabis entered into a definitive agreement with Danavian Cannabis to acquire 100% of its shares and thus now controls one of 12-Cannabis cultivation and manufacturing licences in the Kingdom of Denmark.

Marathon Global Inc

In May, the firm agreed with Marathon Global Inc to acquire 50% of its issued and outstanding shares.#

Marathon Global has an exclusive agreement with Cosmos Holdings to procure and distribute medical Cannabis products and all Cannabis derivatives for clients of Cosmos in approved countries within its distribution network of 110 clients, representing approximately 35,000 pharmacies in 16 countries.

CanAfrica Holdings

In June, the firm executed a share purchase agreement with CanAfrica Holdings to acquire 100% of the firm.

CanAfrica holds a licence to cultivate, manufacture, supply, hold, import, export and transport Cannabis and derivative products. ICC expects that Lesotho will act as a staging ground for access to larger African markets, including its neighbour South Africa and its population of over 55 million.

Canna Colombia Holdings Inc

In June, the firm entered into a letter of intent to acquire a 100% of Canna Colombia Holdings Inc, formerly Cannabis Medical Group SAS, a Columbian entity that holds licences to cultivate, produce, hold, sell and export Cannabis and its by-products.

Aricannabis BioTech Corp

In August, International Cannabis announced a definitive agreement with Aricannabis BioTech Corp to acquire 100% of Aricannabis's shares.

Aricannabis works on an exclusive basis with NuCare Health to provide Cannabis products to more than 2,800 independent and corporate pharmacies across South Africa.

EU Cannabis Corp.

In June, ICC struck a  definitive agreement with EU Cannabis Corp to acquire 100% of EU Cannabis's shares. The latter has an option to acquire a 90% working interest (WI) in industrial hemp licences held by Cannatec Greece A.E.

Cannatech currently holds three licences covering a total of 16 acres situated within the Greek prefecture of Imathia.

Shares in Toronto eased 1.67% to $0.59.

Polannabis has access to more than 850 acres of premium hemp crops; estimated to produce up to 6,800 tons of material in which Cannabinoid (CBD) derived products can be made.  The company will fund initial development and European expansion with a capital infusion, as well as make payments of C$2.5 million and will issue over 26.5 million shares.

"Polannabis brings a highly skilled workforce, proprietary extraction methodologies, as well as existing revenue generating supply contracts," said Eugene Beukman, the CEO and director of ICC.

ICC has already hired Sababa Sciences (Sababa), an Israeli based cannabis company to design, build and oversee the expansion of the Polish assets.

The Polish group has secured a monthly off-take agreement for 100 kilos of 99.9% CBD isolate, which will be launched immediately upon the completion of the above expansion.

Expansion in Europe

ICC's immediate investment in Polannabis will increase its CBD extraction capacity to an initial run-rate of over 2,400,000 grams per year, it said, ahead of Phase II build out which will begin in 2019.

Sababa's team has extensive experience in cannabinoid extraction, organic cultivation, product development and medical research.

Poland is the sixth most populous member of the EU and collectively with Greece will function as ICC's flagship European hemp cultivation and extraction hub.

Notably, ICC already holds an exclusive agreement with Cosmos Holdings (Cosmos), a European based pharmaceutical distributor, for medical cannabis products and all cannabis derivatives within  Cosmos's distribution network of 110 clients.

Cosmos' distribution network represents around 35,000 pharmacies across 16 countries.  The EU has more than 500 million potential consumers, affording ICC with a unique opportunity.

The acquisition of Polannabis provides ICC with immediate revenue generation and the ability to leverage its European distribution network.

ICC also said that a contingent consideration of up to C$2.5 million in cash to founding principals may be paid based on Polannabis achieving C$25 million in EBITDA by 2021.

ICC plans to invest an additional C$2 million.

The company has stepped up its European aspirations recently. It said it had been granted a medical cannabis cultivation licence by the Greek government - adding to the existing hemp licence the company has in the country.

The licence - the first of its kind to be issued in Greece -  is needed for pre-approval to grow medical Cannabis in the Greek prefecture of Imathia. It will serve as headquarters for the firm's flagship property called the Cannabis Park, which lies in the heart of the Bogota Savannah in Funza.

Cannabis Park is forecasted to produce between 25,000 and 40,000kg of dried Cannabis flowers per year, and once fully optimized, the Colombian assets are projected to generate up to 500,000kg of dried Cannabis flower per year.

Significantly, it lies within 20 km of Bogota's international airport.

ICC holds licences to cultivate, produce, hold, sell and export cannabis and its by-products.

Phase 1 of the Cannabis Park construction is currently underway, which is  a one hectare, polycarbonate greenhouse.

Once that phase is complete, the company will begin test trials of its ten primary Cannabis strains.

ICC will then present its findings to Colombian officials who will then award the company its finalized quotas.

Three cultivation, processing and extraction structure

Upon receiving final approval from the appropriate Greek authorities, ICC plans to break ground on the construction of three cultivation, processing and extraction structures with a total footprint of 97,000 square feet.

The first will be ICC's flagship 34,000 sq/ft structure, that will include six separate, self-contained flower rooms and two separate, self-contained vegetation rooms. The second structure will be 3,000 sq/ft structure. 

A third 60,000-square-foot structure will act as a polycarbonate-covered greenhouse.

The greenhouse will be integrated with irrigation systems, supplemental lighting, light deprivation systems, air filtration exchanges, carbon dioxide dosing capabilities, odour control, dehumidification systems, as well as heating and cooling capabilities.

ICC says its plans to implement computerized automation controls to integrate the entire growing ecosystem.

ICC and Sababa Sciences have designed the greenhouse that will meet certain standards, while the pair is also developing an on-campus European GMP compliant facility using advanced analytics to maximize extraction and product manufacturing processes.

Mirrors industry peers

ICC says its entry into Denmark mirrors industry peers such as Canopy Growth Corporation (TSE:WEED), Green Organic Dutchman Holdings, Aurora Cannabis Inc (TSE:ACB). and CannTrust Holdings (TSE:TRST).

"The Town of Møeldrup and its Mayor Ulrik Wilbek have made great efforts to host ICC and Sababa Sciences," said Eugene Beukman, chief executive and director of ICC.

"We are proud to be working with a forward-thinking industrious town with a robust infrastructure. Since legalization on January 1, 2018, the Danish government has displayed strong support for Cannabis development, in the forms of research grants and tax incentives.

"ICC holds claim to premier European Cannabis assets; domiciled in a jurisdiction with a highly skilled agriculture and manufacturing workforce. With the help of Sabba Sciences, we look forward to continuing to advance our Danish operations.”

Finished cannabis and cannabis derivatives produced by the company will be sold through Denmark’s retail pharmacy network.

Denmark has developed a program for reimbursement for cannabis therapeutics through its national health care program.

Shares in Toronto added over 7% to $0.60.

On September 18, South Africa's Constitutional Court unanimously voted to legalise adult cannabis consumption, as well as the cultivation of cannabis for private consumption. South Africa's Parliament is expected to amend the laws that criminalise cannabis following the Constitutional Court's ruling in the coming months.

The company said it has agreements in place to provide cannabis products to over 2,800 independent and corporate pharmacies across South Africa and also said its distribution network is complemented by the company's licences for medical cannabis cultivation, manufacturing, distribution, transport, research and import/export in the Kingdom of Lesotho.

"ICC applauds South Africa's progressive decision to legalize adult cannabis consumption and private cultivation. The company is well positioned to capitalize on South Africa's maturing cannabis regulations, through its South African distribution infrastructure and Lesotho based cultivation and export licences," said Eugene Beukman, chief executive officer and director of ICC.

The company recently announced its engagement of leading Lesotho-based infrastructure and development consultancy firm; Volare to assist with local development efforts. In 2017, Lesotho became the first African Nation to issue licenses for medical Cannabis operations.

The Kingdom of Lesotho is an enclave of South Africa and will act as a cultivation and production hub for ICC's 2,800 South African pharmacies. Both South Africa and Lesotho are members of the South African Customs Union (SACU), which aims to maintain the free interchange of goods between member countries. Lesotho has also signed numerous international trade agreements permitting the unencumbered export of cannabis products to various jurisdictions worldwide.

It is anticipated that Lesotho will act as a staging ground for access to larger African markets including its neighbour South Africa and its population of over 55 million. Lesotho is a favourable jurisdiction for cannabis cultivation due to its rich soils, ideal climate, skilled agricultural workforce, low-cost labour, and access to key infrastructure.

Auxly will also give Kaneh guidance for future production facility design and development, cannabis licensing and regulatory compliance, branding and marketing matters, distribution channel expansion, and related financing.

Kaneh has agreements in place to supply a European-based pharmaceutical distributor with a network of 35,000 pharmacies in 16 countries, in addition to working interests in industrial hemp licences in Greece and wholly owned licences to cultivate, produce, distribute, store and export cannabis in Colombia, the Kingdom of Lesotho and Denmark.

It is also pursuing further cannabis licences and related infrastructure in other international jurisdictions where cannabis is legal for medical or non-medical purposes.

New partner

"We are very fortunate to have attracted a partner like Auxly," said Eugene Beukman, chief executive at Kaneh.

"Their support is a further validator of our conviction that international opportunities in the right jurisdictions are likely to represent the next major growth and focus area for capital, as these significant markets mature and develop.

"Our licences and target licences in Europe and Latin America blanket a massive population of eligible and interested consumers."

Auxly has subscribed for C$5mln of convertible debentures of Kaneh Bosm via a placing. They bear interest at 8% and mature on September 17, 2021.

The debentures can be converted into units at C$0.53 each. Each unit consists of one Kaneh Bosm share and one share purchase warrant, which is exercisable into one Kaneh Bosm share for C$1.06 for three years.

"Earlier this year, Canopy acquired Daddy Cann Lesotho PTY Ltd for $28.8mln. Daddy Cann and Kaneh Bosm's CanAfrica have been awarded identical medical cannabis licences by the Kingdom of Lesotho.

"In March of 2018, Supreme Cannabis invested $10 million for a 10 percent stake in Lesotho's MediGrow Holdings PTY Ltd."

Kaneh Bosm also highlighted Aphria Inc's (TSE:APH) recently announced a joint venture with Lesotho-based Verve Dynamics.

Verve is set to supply high-grade low-cost cannabis isolates to the African continent and, through Aphria International's distribution network, to markets across the globe.

Kaneh also noted that it continues to complement its existing African cultivation and distribution footprint.

Most recently, the company acquired South African based Aricannabis BioTech Corp, which works on an exclusive basis with NuCare Health to provide Cannabis products to over 2,800 independent and corporate pharmacies across South Africa.

South Africa has a population of 55mln people and has announced plans through the Medicines Control Counsel for medical Cannabis distribution to South African patients.

"Kaneh Bosm now holds claim to one of twelve highly coveted Danish cannabis cultivation and manufacturing licences," said Eugene Beukman, chief executive.

"Denmark has proven to be an environment conducive to the continued development of sustainable and forward thinking cannabis enterprises.

"The company looks forward to capitalising on Denmark’s tactical position within the European Union and well-funded healthcare system.”

He added that the acquisition would create material synergises with Kaneh Bosm’s existing European distribution channels and cultivation capabilities.

"This agreement further enhances the company’s vertically integrated, European seed-to-sale aspirations. Danavian and Sababa Sciences plan to apply for local approvals to manufacture and distribute Sababa’s patented, formulated products," he added.

Significantly, Davanian has hired Israeli cannabis cultivation and management company, Sababa Sciences Inc, which will provide end-to-end management.

Danavian and Sababa Sciences have designed a 55,000 sq ft fully automated greenhouse facility that will meet IMC-GAP, ISO:9001 and European GMP standards.

Finished cannabis and cannabis derivatives produced by Danavian will be sold through Denmark’s retail pharmacy network.

However, there are a number of other attributes that, if missing, doom a company to failure.

An experienced management, access to capital and a clear strategy that plots a course to the exit are three.

None of those work if there isn’t also a viable market; though the ideal is to target an arena where competition is low and the barriers to entry high.

In Kaneh Bosm Biotechnology (CSE:KBB, OTC:KNHBF), these ingredients are there in abundance.

Fragrant cane

The name first. Literally translated the first two words mean 'fragrant cane' and come from the Old Testament reference to cannabis in Exodus 30:23.

So no prizes for guessing, KBB is a cannabis company.

But unlike the giants of the industry such as Aurora and Canopy Growth, it wants to expand outside North America.

Its transformation in the last eight months reveals it is already part-way to realizing its ambition as it now has operations in Europe, South America and Africa.

In all, it has six discrete units that make it a vertically integrated ‘seed-to-sale’ operation.

Marathon Globa has an exclusive agreement with Cosmos Holdings

Through subsidiary Marathon Global it has an exclusive agreement with Cosmos Holdings, a European pharmaceutical distributor that gives KBB access to 35,000 pharmacies in 16 countries.

EU Cannabis Corp, meanwhile, has a 90% interest in industrial hemp licences held by Cannatec Greece.

This allows it to cultivate, manufacture, distribute and export industrial hemp and its many cannabidiol (CBD) derived extracts.

CBD applies different qualities

For the uninitiated, CBDs are the inert, non-psychoactive compounds derived from cannabis, which are distinct from THC, which gets you high.

CBD cannabinoids are prized for their manifold medicinal qualities including pain relief and anxiety suppression.

Lucas Birdsall, a long-time adviser to the company, thinks CBD opportunities are just the start in Greece. It has applied for a medicinal cannabis licence there.

He describes Greece as the “gateway to the EU for KBB”.

Another way to look at it is as an option on the liberalization of cannabis laws in Europe.

“Eventually, as they come around to legalization across the EU bloc we may be able to parlay what we have into medicinal or recreational cannabis supplies,” says Birdsall.

Farmakem, is key to the portfolio

Key to the portfolio, too, is Farmakem, a revenue-generating licensed medical cannabis company based in Slovenia. “It works mainly on the R&D side,” says Birdsall. “It will complement our supply arm.

In CanAfrica Holdings, KBB has planted its flag in Africa with a Lesotho-based low-cost cultivation operation that can also manufacture, supply, hold, import, export and transport cannabis and derivative products.

The CSE-listed company is in Latin America via a mirror image business in Colombia called Cannabis Medical Group SAS.

We touched on the firm’s unique selling points earlier, but it’s worth understanding just what will propel this growing enterprise along the road to success in the coming months and years.

Management is key. Eugene Beukman, Michael Martinz and Brendan Purdy represent a strong and experienced leadership that will oversee the company’s buy-and-build strategy.

Birdsall points out that the company’s founders were behind one of Canada’s largest cannabis streaming deals, so there is plenty of industry knowledge there too.

Financial backing is also on tap with the group raised around $10mln thus far.

This brought in a number of savvy hedge funds, including MMCap International, which was an early investor in success stories such as Aurora, Canopy and Cannabis Wheaton.

New frontier for cannabis

Of the group of investors behind KBB, Birdsall says: “They are quite experienced at both understanding the next frontier of cannabis as well as understanding the licences we have assembled to date.
“They recognize the ambitious nature of KBB’s seed-to-sale objective. They are going to allow us to raise materially larger amounts of capital going forward.”

Mentioned earlier, the strategy is to buy, build and ultimately sell. A recent spate of transactions that’s brought the business this far is just the start of the corporate activity.

Birdsall reveals there are deals in the pipeline that management hopes will come to fruition in the coming weeks and months.

In fact, there is no shortage of businesses lining up to work with KBB. “We have access to the capital the founders don’t have and we’ve also run public companies,” says Birdsall.

He thinks there is huge potential as the cannabis revolution takes hold internationally. “We want to be part of that,” he says.

But ultimately it is also about the exit and handing the company on to a buyer who can take the KBB to the next level, he adds.

“We view ourselves as a very attractive take-out target for an enterprise model licensed producer.”

<![CDATA[News - Kaneh Bosm BioTechnology rapidly growing its medical cannabis and cannabidiol portfolio ]]> https://ca.proactiveinvestors.com/companies/news/201856/kaneh-bosm-biotechnology-rapidly-growing-its-medical-cannabis-and-cannabidiol-portfolio-201856.html Marijuana - focused investor Kaneh Bosm BioTechnology Inc (CSE:KBB) is getting together a portfolio of licences globally specializing in the cultivation, extraction and distribution of medical cannabis and CBD (cannabidiol) products.

It now has four licences in hand - in Greece, Slovenia, Colombia and Lesotho - it said in a corporate update Monday, and is  finalizing discussions on at least a half dozen additional licences in Europe and Latin America.

"We believe that this will make KBB the first publicly listed, globally focused, vertically integrated, cannabis pure play," said Eugene Beukman, chief executive.

Kaneh has an interest Marathon Global, which in turn has an exclusive agreement with European pharma group Cosmos Holdings Inc.

The deal is to procure and distribute medical cannabis derivatives for clients of Cosmos in approved countries within its distribution network of 110 clients, representing around 35,000 pharmacies in 16 countries.

It is also interested in CanAfrica Holdings, which holds a licence to cultivate, manufacture, supply, hold, import, export and transport cannabis in Lesotho, and Cannabis Medical Group SAS in Colombia, which has previously acquired 13 hectares of optimal agricultural land located in Funza, the heart of the Bogota savanna.

Kaneh also is interested in EU Cannabis, which holds a 90% working interest in industrial hemp licences held by Cannatec Greece AE (Cannatech).

Cannatech currently holds three licences covering a total of 16 acres situated within the Greek prefecture of Imathia

Finally, Farmakem is a revenue-generating licensed medical cannabis company based in Slovenia.

Its focus is on research and development (R&D), production, supply, distribution, and commercialization of active pharmaceutical ingredients, medical devices and food supplements within the medical cannabis/hemp industry.

Kaneh Bosm also noted that with a budget of C$1.3trn in health care spending, European government-subsidized health care systems are set to become the largest single market for cannabis in the world as the liberalization of regulations in favour of plant-based medicine continue.

(OTCMKTS:COSM) announced Tuesday that it has entered into a share exchange agreement with Marathon Global Inc. and Kaneh Bosm BioTechnology Inc. (CSE:KBB). 

Under the agreement, Cosmos has swapped its undisclosed stake in Marathon Global for 10 million shares of Kaneh Bosm, the cannabis company that specializes in acquiring marijuana projects and cannabis-related companies. Marathon Global is a private Canadian company specializing in the supply of cannabis.

"I am pleased to announce this agreement will provide Cosmos with additional product lines, all of which we anticipate will increase revenues and profitability on a global scale. Our sales teams are already familiarizing themselves with the new product line and disseminating the details to our global clients," said Cosmos's chief executive, Gregory Siokas.

The 10 million shares of Kaneh Bosm owned by Cosmos Holdings constitute approximately 7% of the 141.2mln shares of Kaneh Bosm that are issued and outstanding.

Kaneh, through its subsidiaries, has agreements in place for European based pharmaceutical distribution and working interests in industrial hemp licenses in Greece, licenses to cultivate, produce, hold, sell and export cannabis and its byproducts in Colombia and the Kingdom of Lesotho, Africa.

As part of the agreement, Cosmos Holdings will distribute Marathon Global's medical cannabis products for Comos' clients in a distribution network of 160 clients, representing approximately 35,000 pharmacies in 16 countries.

Shares in Kaneh were down at C$0.44 on Tuesday. Shares of Cosmos were up 3.4% at US$7.00.
