The Lac Guéret Extensions Project
The Lac Guéret Extensions Project is located within the exploration friendly jurisdiction of Quebec, in the Manicouagan Regional County Municipality, three hours driving time from the city of Baie-Comeau. Easy access is provided via a major secondary road and numerous tertiary and forest roads that traverse the property.
The project is situated in the geological Grenville Province and part of the Plan Nord region, Quebec’s highly regarded sustainable development initiative.
The Lac Guéret East Block consists of 38 claims covering 2,052 Ha and is prospective for Graphite. Berkwood holds a 100% interest in the property. Berkwood also has an option to earn a 100%-interest in the Lac Guéret South Block which consists of 106 claims totalling 5714 Ha.
The Lac Guéret Extensions Project directly borders Mason Graphite’s significant Lac Guéret Project to the east and south. Mason Graphite’s advanced Lac Guéret Project has an NI 43-101 compliant mineral resource estimate with measured & indicated mineral resources of 67.5 million tonnes grading 17.2% Cgr (Carbon as Graphite), inlcuding 9.7 million tonnes grading 31.2% Cgr.
The Lac Guéret South Block is also djacent to, on all sides, a separate Mason Graphite property in the Lac Guéret region, the Capitaine Cosmos Graphite Prospect, which lies 12 km to the southwest of Mason Graphite’s Lac Guéret Project.

COBALT FORD PROPERTY REPORT
Property Description and Location
The Cobalt Fold Property is in the Côte-Nord area of Quebec Province on NTS sheet 22K15 and is readily accessed by driving northward for 180 kilometers (~4 hours) from Baie-Comeau. Baie-Comeau is a strong base for industry services located on the Saint Lawrence River providing a seaport allowing global access to deliver product worldwide.
Main Road HWY 389 passes 7km east of the Property in a North-South direction, with access to the property afforded by secondary roads. A high tension power line is located parallel to Road 389. The property is characterized by a very hilly topography and is bordered by the Lac Paradis to the west and by the Manicouagan Reservoir to the east. The property is accessible year round, and comprises one block of 40 claims, totaling approximately 2,176.19 hectares or 21.76 km2.

Delbreuil Lithium Property, Quebec,
Property Description and Location
The Property is in the Abitibi-Témiscamingue area of Quebec Province in the NTS sheet 31M09. It easily accessed by driving 9 hours from Montreal. It is located about 78 kilometres (km) southwest of the Val-D’Or municipality, 80km southeast of Rouyn-Noranda or 7km northeast of the Wineway (Long Point First Nation) community. All commodities can be found in the Val- D’Or municipality. Secondary road passes on the property, on a northeast-southwest direction. The property shows a flat to slightly hilly topography, with elevation difference of less than 30m an average elevation of 320m. The Ottawa River passes 3km south, the Lac Simard is 5km west of the property and the Nodier Lake is located less than 2 km east. The property can be accessed all year long if snow removal is done, or with the use of a ski-doo.
The Property is made of one block of 8 claims, all of them in good standing, totaling approximately 464.41 hectares or 4.64km2. Additionally, a total of 45 claims (approximately 2,600 hectares) were staked under 1124026 B.C. Ltd’s name.
Recent exploration work was carried on the Property, where exploration for base and precious metal was made. A few geophysical surveys are available, along with some prospecting, drilling and mapping survey. Geological mapping in the area of the Property was performed in 1975, which revealed the presence of multiple copper-zinc-nickel and lithium-beryl-niobium- tantalum-uranium-thorium mineralization. Airborne magnetic and electromagnetic surveys were done in 1958, 1964, 1965, 1988, 2004, 2005 and 2006. Drilling campaigns were conducted in 1957, 1966 and 1987. Lithium values of 1,290ppm (1.29% Li) have been returned from a pegmatitic outcrop.
In 1958, Belleterre Quebec Mines Ltd conducted a ground survey to cover a copper-nickel showing. Prospecting, trenching by bulldozer, and diamond drilling were completed. Mineralization noted on surface and in drill holes is mainly graphitic schist with minor values in copper, nickel and zinc (Miller, 1958).
In 1999, Ressources Minières Coleraine Inc conducted a ground survey on their property to test new exploration tools, including ground geochemistry. Prospecting, trenching and cartography lead to the discovery of two new mineralized zones. (Halle, 1999)
In 2005, Exploration Fieldex inc and Aurora Platinum conducted a ground survey to evaluate the potential of the property for Cu-Ni mineralization in Komatiitic flow. Nickel mineralization was found in quartzite at the contact with the volcanic rocks. Best results returned 3800ppm Ni and 1298ppm Cu (Halle, 2005). In 2006, they conducted a detailed mapping campaign. They identified granite bodies and numerous pegmatite, with width between 5cm to 50cm (Halle, 2006).
In 1957, Belleterre Quebec Mines Ltd. conducted a three-hole survey on the property. They intersected volcanosedimentary rocks (rhyolite, greywacke tuffs) and feldspar porphyry. Visible mineralization consisted in pyrite, pyrrhotite, chalcopyrite and sphalerite. No results have been reported (Miller, 1957).
In 1966, Scope Mining & Exploration Consultants Limited conducted a three holes survey on the property. They intersected volcanosedimentary rocks (rhyolite, greywacke) and feldspar porphyry. Mineralization consisted in pyrite, chalcopyrite and sphalerite. Best assay results returned up to 0.24% Ni, 0.50% Cu and 1.36% Zn (Smith, 1966).
In 1987, Alotta Resources Ltd conducted seven drill holes on the property. They intersected mafic (peridotite, pyroxenites), quartzites horizons and pegmatitic dykes. Mineralization consisted in pyrite, chalcopyrite and sphalerite. Best assay results returned up to 0.2598% Ni over 24 feet and 0.31% Cu over 41 feet (Sieb, 1987). Lithium was not analysed.
Roscoe Vanadium Project
October 13th, 2017, VANCOUVER, B.C. Berkwood Resources Ltd. (TSX-V: BKR, FSE: BK2, WKN: A110N3) (“Berkwood” or the “Company”) is pleased to announce that it has acquired the Roscoe Vanadium Property in the Cote-Nord area, Quebec. The Roscoe Property (the “Project”) comprises forty (40) claims totalling 2,189.19Ha (21.89km2) in an area of known iron-titanium-vanadium mineralization and features certain historic work and more recent airborne geophysical surveys. The Project property is easily accessible by main and secondary (dirt logging) roads and is located about 250km north of the Baie-Comeau municipality. Berkwood is acquiring The Roscoe Vanadium Project by payment to 1129961 B.C. Ltd of 1,500,000 common shares and $15,000. Berkwood will own 100% of the property with no royalties attached. The transaction remains subject to TSX-V approval.

During that time Mr. Yingling has specialized in Corporate finance, assisting in raising capital, corporate communications and strategic planning for the companies. Mr. Yingling has built and maintained strong business relationships in North America, Europe and Asia.
Mr. Binny Jassal
CPA, CGA FCCA, Chief Financial Officer
Mr. Binny Jassal brings over 20 years of accounting and management experience to the Company. Mr. Jassal is qualified as a Certified Public Accountants (CGA) in Canada, and fellow member of Association of Chartered Certified Accountants in London England and holds Certificate in Accounting and Finance from Ryerson University Toronto. Mr. Jassal is currently serving as a director and/or chief financial officer for a number of public companies in mining sector. Mr. Jassal will be an important member of the team working on the financial and corporate side of the operations.
Mr. Ian Graham
Mr. Ian Graham is a mining professional with over 20 years of experience in the technical characterization and financing of mineral deposit exploration and development. Ian’s experience with the major mining companies Anglo American and Rio Tinto has been followed by experience in founding and financing public companies in the minerals sector. In his roles with both the major and junior companies, Ian has been involved with the modeling of project economics (DCF) and the structuring of project and company financing.
Ian’s project roles have taken him to southern Africa, Canada, the US, India, and Russia; as Chief Geologist with the Project Generation Group at Rio Tinto his focus was of a global nature. Ian’s corporate roles have involved establishing Canadian companies with projects active in Canada, the US, Colombia and Peru: these companies have completed financing in the Americas, Europe and China.
Ian’s mine projects include the Diavik Diamond Mine (Northwest Territories, Canada), Resolution Copper (Arizona, USA), Eagle Nickel (Michigan, USA), Lakeview Nickel (Minnesota, USA) and Bunder Diamonds (India).
Ian graduated from the University of Natal (now Kwa-Zulu Natal) in Durban, South Africa with a B.Sc. in Geology and Applied Geology (1984) and B.Sc. (Hons) in Geology (1985).
Mr. Charn Deol
Mr. Charn Deol has over 35 years of experience in the financial markets. Mr. Deol currently serves on both private and public company boards as a director or in a management capacity. His past and present experience includes providing management and consulting services to companies, project analysis, investor relations, technical market analysis and the financing of international projects. Mr Deol has extensive experience in international business development, having previously been a senior partner in a futures trading firm (Evergreen Futures) with operations in Canada and Asia and negotiating mining projects internationally.
Mr. Ed Lyons

Mr. Ed Lyons (our project lead and Qualified Person) has been involved in numerous projects evolving from exploration to development stage since 1971. His strength is collaborating with mine development teams to ensure tight resource integration with development plans. Since 2000, Ed has worked extensively in industrial minerals, including graphite and iron oxide deposits in the Grenville Metamorphic Province in Quebec and
Labrador. In 2000, Quinto Mining asked him to assess a potential graphite deposit near Lac Guéret. After the initial visit with another consultant, Ed spent several days prospecting areas away from the initial graphite
showing located by Mr. Phil Boudrais of Sept-Isles, and located two significant graphite zones, the GR (Graphite Road) and GC (Graphite Cliff) that included numerous showings of significant crystalline graphite. Quinto then optioned the property and expanded it to cover the geology of an iron formation and associated geology with graphite. Mr. Lyons supervised field exploration between 2001 and 2005 during which period substantial graphite outcrop was exposed and sampled. Quinto¹s work included multiple drill campaigns that validated the deposits at depth, after which the company turned its attention to iron deposits in the region. Ed wrote all of the NI 43-101 and Assessment Reports on the Lac Gueret Property. The property subsequently became available, and Mason Graphite Inc. acquired it andinitiated a mine development drilling campaign to delineate mineral resources and reserves for mine planning. Ed acted as the independent Qualified Person for the geology and resource parts of the Pre-feasibility and Feasibility NI 43-101 reports for Mason Graphite. In addition Ed was part of the mineral resources estimate team with Roche Ltd. (Montreal, QC) for Focus Graphite¹s Lac Knife Graphite Deposit south of Mont-Wright, QC, and consulted for a private investment group on Nouveau Monde Graphite¹s Matawinnie Deposit near Mont-Tremblant, QC. Ed¹s experience in these graphite occurrences and their associated iron oxide deposits have helped Ed develop a broader understanding of what makes a successful graphite deposit. His expertise and experience within the space are unparalleled and are pivotal for the success of the company.

Mr. Michel Robert, Ed’s erstwhile collaborator at Quinto. Michel has 45 years of experience in mining operations with major companies, including Quebec Cartier Mining Ltd., Teck Corp., SNC, Lac Minerals (now Goldcorp), AMEC, MineroPeru, Fluor Daniel and Pan American Silver Corp., where Michel¹s roles have ranged from foreman to president. He has practical experience in operation, commissioning, design, construction, finance and due diligence, and graphite experience from due diligence and start-up of the ND-du-Laus graphite mine of Asbury Graphite Ltd. (now closed), and as VP of Quinto Mining Corp. responsible for the formation of the team and management of the Lac Guéret project until the sale of the company.Michel¹s 15 years of experience in Quebec for Teck Corporation, QuintoMining Corp, Commerce Resources Ltd, and Critical Elements Corp. and hisfamiliarity with regulations, social and physical infrastructure, governmentagencies and service providers at all stages of mine-life makes Michel a key contributor on our team.
