The junior exploration company is offering up to 5.7 million shares at a price of C$0.35 per share. Each units consists of one common share and one warrant, which can be used to acquire one share at an exercise price of C$0.55 for 24 months from the date of issuance.

Vancouver-based Osino said in a statement that existing shareholders, including mining giant Ross Beaty and private equity firm RCF Opportunities Fund Ltd, intend to participate in the offering to maintain their current pro rata ownership of the company.

Pan American Silver CEO Ross Beaty currently owns 11.2 million Osino shares, representing 20% ownership of the company.

Osino Resources owns a portfolio of projects in Namibia, including the Karibib gold project located around 130 kilometres from the capital, Windhoek.

Shares of Osino were trading at C$0.37 in Toronto and at US$0.29 on OTC markets.

The latter was found via in-fill sampling at the Twin Hills gold prospect and has been named the Twin Hills Central target. It is 3,000m (meters) along strike and 300m (meters) wide.

Drilling on this target will begin in the second quarter of 2019, the group said.

Osino's Karibib project lies 130 km north-west of Namibia’s capital city Windhoek.

Meanwhile, the company also noted that last year, it had decided to test sample the continuation of the Karibib Fault towards the south west in a bid to define further gold targets.

A rotary air blast (RAB) was used for the sampling and all the assays have now been received and interpreted.

In addition, surface calcrete samples were collected along the contact between schist and marble to the south and south west of Twin Hills.

These programs produced four new gold anomalies which will be ground checked and followed up with bedrock sampling starting in the second quarter of 2019, the firm said.

High priority target

"We have now defined a high priority drill target under cover at Twin Hills Central and are looking forward to getting the drill rigs on site. We will also be developing the new targets along the Karibib Fault with an aggressive follow-up program starting later this month," said Heye Daun, Osino's CEO.

The firm also noted that with its recent acquisition of the 55,000ha (hectare) Kranzberg license, Osino had significantly increased the area under control further to the south west and it is now in a position to extend exploration along this emerging gold trend.

Sampling in this area has already started.

In Toronto, Osino shares added nearly 15% to $0.39 each.

The property lies 20km to the northeast of Osino's flagship Twin Hills gold project and the results extend the Goldkuppe mineralization by 2km to the southwest, adding scale, the firm said.

They also prove that the gold mineralization extends into the banded marble which forms the footwall to the dolomitic marble.

Osino sank 14 holes during November and December last year for a total of 2,550m (meters) at the Oasis and Wedge targets to the south of Goldkuppe.

Wide zones of gold mineralization were hit in several holes at Oasis, with best intercepts of 77m (meters) at 0.4g/t (grams per ton) gold, 37m at 0.5g/t (grams per ton) and 37m at 0.4g/t.

Notably, the style of gold mineralization is typical of the multi-million ounce Navachab Gold Deposit 30km to the southwest.

Last year's drilling was a step-out program from initial scout drilling conducted during December 2017, which returned best gold assays of 49m at 0.7g/t (grams per ton) at Oasis and 10m at 2.0g/t at Wedge.

The assay results were somewhat delayed as a result of a potential coarse gold issue, requiring re-assaying and confirmation with screen fire assay.

Future drill plans

An updated structural interpretation of the ground and airborne magnetics along with satellite imagery was carried out in January this year and Osino says future drilling will focus on the north-south structures.

This will include deeper drilling under Goldkuppe Hill as well as the area between Oasis and Goldkuppe Hill.

For the rest of 2019, Osino told investors it will focus on advancing Twin Hills and the Karibib Fault trend to the south west of Twin Hills.

The company has planned  a drill program at Twin Hills and on-going calcrete and bedrock sampling along the rest of the trend. Osino will also continue to advance the Otjikoto East targets and initiate the Otjiwarongo regional, generative exploration program.

Osino’s Namibian interests consist of 22 exclusive prospecting licenses within the central and northern zones of the country's prospective Damara belt, mostly close to and along strike of the producing Navachab and Otjikoto gold mines.

Shares in Toronto eased 3.8% to $0.35.

The Vancouver mining company with gold operations in Namibia has been given the trading symbol "RSRI" and the security identification number "A2NB4".

“The listing in Frankfurt, one of the largest stock exchanges in the world, allows investments by institutional and retail investors in the African and European time zones,” CEO Heye Daun said. “We are expecting more liquidity and interest in Osino through our global shareholder base.”

The FSE has a strong track record of welcoming foreign companies looking to dual list, processing applications in just weeks. Osino is one of more than 100 Canadian miners to list in Frankfurt, according to Resource Investing News. 

The stock made its German debut at €0.22 and held at C$0.36 on the TSX Venture in afternoon trading.

The gold-focused junior is consolidating ground at its Karibib exploration project on the African continent, which consists of six licences covering a total of 955 square kilometres. The licences include more than 50 kilometres of prospective strike extension of the producing Navachab gold mine, one of two in the country.

Shares of Osino jumped 5.6% to $0.38 on Monday in Canadian trading, and remained flat at $0.32 on the OTC in the US.

The two licences were acquired from Namibian citizens on an arm’s length basis, with no additional finder’s fees required.

The new land packages comprise of 696 square kilometres of prospective ground adjacent to the Navachab mine and along the company’s Karibib gold trend.

Recent work on the Karibib trend revealed a maximum gold assay value of 2.3 grams per ton on the Twin Hills prospect. A further seven bedrock samples had values between 0.3 g/t and 1.1 g/t gold.

Osino is currently focused on developing the Karibib project and defining new exploration targets along its 6,000 sqaure kilometre land package in Namibia.

Otjikoto East, acquired in 2017, consists of three contiguous licenses covering a huge area of 1538 square kilometers (sq km). Exploration there has included surface sampling and high-resolution magnetic and radiometric survey.

Notably, it includes 120km of prospective strike length directly east and along strike from B2Gold Corp's producing Otjikoto Gold mine.

Osino is looking for Namibia's next gold mine and has amassed a lot of ground in Central Namibia - some 6,000 sq km.

Of the new anomalies, Fairview is particularly exciting, said Osino, as two gold-bearing veins have been uncovered within this sand covered area 30km east of the Otjikoto mine.

The following gold anomalies have been found at Otjikoto East

Fairview - A multipoint gold anomaly in sand adjacent to an interpreted dome structure. Subsequent pitting and rock chip sampling of limited quartz veins produced two positive assays of 1.16 and 0.90g/t (grams per ton) gold, along with anomalous silver and copper. Omagonde - A low-level gold and silver anomaly within calcrete in the northwest corner of the farm. Gaidaus - An east–west striking gold anomaly in calcrete, along an interpreted thrust fault between schists and marbles. Omahona Fold – A large-scale, low-grade gold anomaly in soils along the folded contact between schists and marbles. Waldorf South - Several gold anomalies in sand overlying marble layers within schist, adjacent to the major structure - the Otjohorongo Lineament. Plans for 2019

Osino said plans for the next six to 12 months at Otjikoto East included follow-up sampling over anomalies to delineate Rotary Air Blast (RAB) drill targets in the first half of the year and testing of geochemical anomalies in the second half of 2019.

It plans to test bedrock anomalies using conventional reverse circulation (RC) and core drilling in the second half of this year and the first half of next.

"With the completion of these license acquisitions, Osino continues to grow and explore priority parts of the emerging Damara Gold Province and consolidate our land holdings in these areas," said Dave Underwood, Osino’s VP (vice-president) of exploration.

"Osino now holds majority ownership or has access (through earn-in agreements) to approximately 6,700km2 in the prospective Central and Northern Zones of the Damara Belt in Namibia where we have already made a number of significant new discoveries.”

Dome structure

One of the licenses covers a large geological dome structure, which has many similarities with the Karibib and Usakos domes, which are thought to have played an important part of forming the Navachab gold deposit and related satellite deposits.

Another two licenses are also being acquired with no finder's fees from arm's length Namibian citizens, Osino said.

The transfer of these two licenses was granted by the Ministry of Mines and Energy in December last year and Osino will issue shares to the previous license holders for an equivalent value of C$200,000.

Osino has amassed a large amount of ground in Central Namibia - amounting to some 6,000 square kilometers.

The current focus is on developing the Karibib Gold Project and defining new exploration targets in the Otjikoto East area and on its other licenses.

Osino shares were unchanged at $0.33.

As reported last month, the explorer completed a shallow drilling program to test a surface gold anomaly to the southwest of the firm's Twin Hills prospect.

It was also aimed at extending the collection of samples along the Karibib fault between Twin Hills and the producing Navachab Gold mine, which is owned by QKR Namibia.

The program tested a portion of the gold anomaly in calcrete (a hardened calcium layer) which stretches for 8km to the southwest from the original 3km Twin Hills prospect.

The maximum gold assay value was 2.3g/t (grams per ton) and a further seven bedrock samples had values between 0.3g/t and 1.1g/t gold.

"These results indicate that the gold anomalies in calcrete at surface over the 11km strike length are representative of gold in the bedrock below the thick cover," Osino said.

"We have developed the ability to carry out effective exploration in a region with thick calcrete cover. This is a game changer for us.

"We discovered and grew the Karibib Gold Trend during 2018 and we are now advancing this district scale gold play and delineating drill targets for an extensive drill program later in the year."

Toronto based Osino also noted that a detailed ground magnetic survey was currently underway over the length of the Karibib Trend.

"Approximately 60% of the area was covered during Q4, 2018 and the balance will be completed during February, 2019," it said.

"The results to date indicate that the gold anomaly at Twin Hills is closely associated with an anomalous magnetic response.

"Magnetics will therefore serve as an important exploration tool in the covered areas."

Significant drill program planned

Osino is also planning a significant RC (reverse circulation) and diamond drill program for later in 2019, aimed at testing the expanded Twin Hills prospect and any additional targets generated along the Karibib Trend.

Osino's Namibian interests consist of 20 exclusive exploration licenses within the central and northern zones of the country's prospective Damara belt, mostly near to and along strike from the producing Navachab and Otjikoto Gold mines.

The company said it had now completed a shallow drilling program to test a surface gold anomaly to the southwest of the firm's Twin Hills prospect and extended the collection of samples along the Karibib fault between Twin Hills and the producing Navachab Gold mine owned by QKR Namibia.

Osino said a re-interpretation of geochemical and structural data alongside initial results of the shallow drill program had resulted in a significant 3km extension of the Twin Hills gold anomaly from 8km announced earlier this year to 11km as at last month.

"We are excited to have further confirmation of the growing size of the Karibib gold trend with its continuation under cover to the southwest of Twin Hills," said Dave Underwood, Osino’s vice-president of exploration.

"The drill program just completed has given us some early but encouraging visual confirmation of our ability to see mineralization through thick cover.

"In addition, the shallow drilling on the remaining portion of the Karibib Gold trend should generate further targets which will be followed up early in 2019. The Karibib trend has the potential to become a district-scale gold play.”

Osino added that based on encouraging visual results received so far,  the company has started an in-fill shallow drilling exercise.

This program is expected to be completed at the end of 2019.

Osino is also planning a significant drill program for next year, aimed at further drill testing the Twin Hills prospect and any additional targets generated along the rest of the Karibib trend.

Twin Hills is a large-scale gold prospect, initially discovered by Osino from grassroots exploration during last year.

So far, the company has conducted soil, regolith and rock-chip sampling, geological mapping, and ground magnetics over Twin Hills but only 1km has been drill tested on the eastern extreme of the prospect.

Osino's Namibian interests comprise 20 exclusive exploration licenses within the central and northern zones of the prospective Damara belt, mostly near to and along strike of the producing Navachab and Otjikoto Gold Mines.
