Countryside Properties PLC (the "Company")

Notification of Transactions by Persons Discharging Managerial Responsibilities ("PDMRs")

The Company has been notified that the following PDMRs were granted awards (in the form of conditional share awards or nil cost options) in the ordinary shares of £0.01 each in the Company ("Shares") on 11 December 2020 under the Countryside Properties PLC Long Term Incentive Plan ("LTIP Awards"). The number of Shares subject to the LTIP Awards has been determined by reference to the average of the middle market prices of a Share on 8, 9 and 10 December 2020 of £4.246 per Share. The LTIP Awards will vest on 11 December 2023, subject to the rules of the Countryside Properties PLC Long Term Incentive Plan and to the extent that the prescribed Performance Targets have been satisfied.
